Terms of Service for MAI PLEXOS

1. Agreement to Terms

By downloading, installing, or using MAI PLEXOS ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you do not have permission to access or use the App.

These Terms constitute a legal agreement between you and Aionics OÜ ("Company," "we," "us," or "our").

3. Definitions

  • "App": The MAI PLEXOS mobile application and all related services
  • "Company": Aionics OÜ, the developer and operator of the App
  • "User" or "You": Any individual who downloads, installs, or uses the App
  • "Health Data": Any information related to health status, medical conditions, pain levels, or wellness metrics
  • "Premium Subscription": The paid auto-renewable subscription offering enhanced features
  • "Free Tier": The basic version of the App available without subscription

4. License Grant

4.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on Apple-branded devices that you own or control, for your personal, non-commercial purposes.

4.2 License Restrictions

You shall not:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, disassemble, or decompile the App
  • Remove any proprietary notices or labels
  • Use the App for any commercial purpose without authorization
  • Distribute or make the App available over a network for use by multiple devices simultaneously
  • Violate any applicable laws or regulations
  • Attempt to gain unauthorized access to any systems or networks
  • Use the App in any way that could damage or impair the App

5. Subscription Terms and Auto-Renewal

5.1 Subscription Options

MAI PLEXOS offers the following auto-renewable subscription options:

5.2 Free Trial

New subscribers may be eligible for a 7-day free trial with full Premium access. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the applicable rate.

Important: Any unused portion of a free trial period will be forfeited when you purchase a subscription.

5.3 Auto-Renewal Terms

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW UNLESS YOU CANCEL IT.

By subscribing to MAI PLEXOS Premium, you acknowledge and agree to the following:

  1. Payment: Payment will be charged to your Apple ID account at confirmation of purchase.
  2. Automatic Renewal: Your subscription automatically renews unless auto-renewal is turned off at least 24 hours before the end of the current subscription period.
  3. Renewal Charge: Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected subscription plan:
    • Monthly: $6.99 USD per month
    • Annual: $41.99 USD per year
  4. Managing Subscriptions: You can manage and cancel your subscription by going to your Apple ID Account Settings after purchase. Go to Settings > [Your Name] > Subscriptions on your Apple device.
  5. No Refunds for Partial Periods: If you cancel, you will retain access to Premium features until the end of your current billing period. No refunds or credits are provided for partial subscription periods.
  6. Price Changes: Subscription prices may change. You will be notified of any price changes, and you will have the opportunity to cancel before the new price takes effect.

5.4 Free Tier

The Free Tier includes:

  • Full pain tracking and logging functionality
  • Basic weekly reports and historical data access
  • Access to 3 days of introductory meditation content
  • Ad-supported experience

5.5 Premium Features

The Premium subscription includes all Free Tier features plus:

  • Ad-free experience
  • Unlimited meditation content library with new sessions added regularly
  • Daily calming status tracking
  • Advanced analytics, correlations, and predictive insights
  • Data export (PDF/CSV) for healthcare providers
  • Custom reminders for logging, medications, and meditation
  • Apple Health and wearable integrations
  • Priority customer support
  • Family Sharing support (up to 6 family members)

5.6 Family Sharing

Premium subscriptions support Apple's Family Sharing feature, allowing up to 6 family members to share one subscription. Family Sharing is configured through your Apple ID settings.

6. Payment and Billing

6.1 Payment Processing

All payments are processed by Apple through the App Store. We do not collect, store, or process your payment information. Apple's terms and conditions apply to all transactions.

6.2 Taxes

Prices displayed may or may not include applicable taxes depending on your location. Apple collects and remits taxes where required by law.

6.3 Refunds

All refund requests must be submitted to Apple. We do not process refunds directly. To request a refund, visit https://reportaproblem.apple.com or contact Apple Support.

6.4 Billing Issues

If there is a billing error, Apple will attempt to charge your payment method for up to 3 retry periods (grace period). If payment cannot be collected, your subscription will be canceled.

7. Medical Disclaimer and Limitations

7.1 Not Medical Advice

IMPORTANT: MAI PLEXOS is NOT:

  • A medical device regulated by any health authority
  • A substitute for professional medical advice, diagnosis, or treatment
  • Intended to diagnose, treat, cure, or prevent any disease or medical condition
  • A replacement for consultation with qualified healthcare providers

7.2 Healthcare Provider Consultation

You should always:

  • Consult qualified healthcare professionals for medical advice
  • Seek immediate medical attention for emergencies
  • Verify any health insights with medical professionals
  • Not make medical decisions based solely on App data

7.3 Meditation Content

The meditation content provided in the App is for general wellness and relaxation purposes. It is not a substitute for professional mental health treatment. If you are experiencing mental health issues, please consult a qualified healthcare provider.

7.4 Medication Management

While the App provides medication reminders:

  • You are solely responsible for taking medications correctly
  • Always follow your healthcare provider's instructions
  • The App is not responsible for missed doses or medication errors
  • Verify all medication information with your pharmacist or doctor

8. User Responsibilities

8.1 Accuracy of Information

You are responsible for:

  • Entering accurate health information
  • Keeping your data current
  • Verifying medication details
  • Ensuring data accuracy before sharing with healthcare providers

8.2 Device Security

You agree to:

  • Maintain the security of your device
  • Use available security features (Face ID/Touch ID, passcode)
  • Not share your device access with unauthorized persons
  • Report any security concerns to us promptly

8.3 Appropriate Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You will not use the App in any way that violates applicable laws or regulations.

9. Intellectual Property Rights

9.1 Ownership

The App and its original content, features, functionality, and design are owned by Aionics OÜ and are protected by international copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

9.2 User Content

You retain all rights to your health data. By using the App, you grant us a limited license to process your data solely for providing the App's services to you. We do not claim ownership of your personal health data.

9.3 Feedback

Any feedback, suggestions, or ideas you provide about the App may be used by us without compensation or attribution to you.

10. Privacy and Data Protection

Your use of the App is governed by our Privacy Policy, available at https://aionics.pro/legal/privacy-policy and within the App at Settings > Privacy Policy.

By using the App, you consent to the collection and use of information as detailed in the Privacy Policy.

11. Third-Party Services

11.1 Apple Services

  • Your use of the App is subject to Apple's App Store Terms of Service
  • Subscription management is handled through Apple
  • Apple Health integration (optional) is subject to Apple's terms

11.2 AI Features

  • AI analysis is performed locally on your device
  • No health data is sent to external AI providers without your explicit consent
  • AI insights are informational only and not medical diagnoses

12. Disclaimers and Warranties

12.1 "AS IS" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF INFORMATION
  • UNINTERRUPTED OR ERROR-FREE OPERATION

12.2 No Guarantee

We do not guarantee that:

  • The App will meet your specific requirements
  • The App will be available at all times or free from interruptions
  • All errors or defects will be corrected
  • The App is free of viruses or harmful components
  • Results from using the App will be accurate or reliable

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIONICS OÜ, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, OR USE
  • MEDICAL COMPLICATIONS OR HEALTH-RELATED ISSUES
  • MEDICATION ERRORS OR MISSED DOSES
  • ANY DAMAGES EXCEEDING THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRIOR TO THE CLAIM

13.2 Essential Purpose

THESE LIMITATIONS SHALL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Aionics OÜ and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the App
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any inaccurate health information you provide
  • Your failure to follow healthcare provider instructions

15. Termination

15.1 Termination by You

You may terminate these Terms at any time by:

  • Deleting the App from all your devices
  • Canceling your subscription through Apple ID Settings (if applicable)

15.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice, for:

  • Breach of these Terms
  • Illegal or harmful use of the App
  • Request by law enforcement or government agency
  • Extended period of inactivity (for free accounts)
  • Discontinuation of the App

15.3 Effect of Termination

Upon termination:

  • Your right to use the App ceases immediately
  • All data stored locally on your device remains until you delete the App
  • Active subscriptions continue until the end of the current billing period
  • Provisions that should survive termination (including Limitation of Liability, Indemnification, and Governing Law) remain in effect

16. Account Deletion

You have the right to delete your account and all associated data at any time:

  1. Open the App and go to Settings > Account > Delete Account
  2. Confirm your decision
  3. All local data will be permanently deleted

Note: Subscription cancellation must be done separately through Apple ID Settings.

17. Governing Law and Jurisdiction

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to conflict of law provisions.

17.2 Jurisdiction

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Estonia. You consent to personal jurisdiction in such courts.

17.3 EU Consumer Rights

If you are an EU consumer, you may also have rights under the laws of your country of residence that cannot be waived by contract.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through:

  • In-app notifications
  • App Store update notes
  • Prominent notice within the App

Your continued use of the App after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the App.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

20. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any provision does not constitute a waiver of that provision.

21. Entire Agreement

These Terms, together with the Privacy Policy and any subscription terms presented at purchase, constitute the entire agreement between you and Aionics OÜ regarding the use of the App, superseding any prior agreements.

22. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without your consent to an affiliate or in connection with a merger, acquisition, or sale of assets.

23. Force Majeure

We shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet or telecommunications failures.

25. Apple-Specific Terms

25.1 Acknowledgment

You acknowledge that these Terms are between you and Aionics OÜ only, not with Apple. Aionics OÜ, not Apple, is solely responsible for the App and its content.

25.2 Scope of License

The license granted to you is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

25.3 Maintenance and Support

Aionics OÜ is solely responsible for providing maintenance and support services for the App. Apple has no obligation to provide any maintenance or support services.

25.4 Warranty

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.

25.5 Product Claims

Aionics OÜ, not Apple, is responsible for addressing any user or third-party claims relating to the App or your possession and/or use of the App.

25.6 Intellectual Property Claims

In the event of any third-party claim that the App infringes a third party's intellectual property rights, Aionics OÜ, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of such claim.

25.7 Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

25.8 Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

26. Age Requirements

You must be at least 13 years old to use this App. By using the App, you represent that you are at least 13 years of age. Users between 13 and 17 should review these Terms with a parent or guardian.


BY USING MAI PAIN APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
